This division pertains to 66.3 million ordinary shares of Aeffe Spa, accounting for 61.797% of its capital, with voting rights. These shares and rights are divided equally between Alberta Ferretti and Massimo Ferretti, giving them each a 30.899% stake in Aeffe’s equity, according to a company statement.
Based in San Giovanni in Marignano, near Rimini and San Marino, the Aeffe Group controls brands such as Moschino, Alberta Ferretti, Philosophy, and Pollini. It concluded the third quarter with revenues of €80.2 million, a 14% decline, and a net loss of €5.6 million. These figures confirm the negative trend for 2023, which ended with revenues down 9.5% at €319 million.
“This transaction is part of a broad reorganization of the shareholders’ assets and does not affect the management of the group,” the company clarified. “It will not lead to any change in the governance of Aeffe Group due to the shareholder agreements in place.”
As part of the split, Alberta Ferretti and Massimo Ferretti have indeed signed a shareholder agreement concerning the administration of Aeffe. They agreed to consult each other before exercising their rights and fulfilling their obligations related to their respective stakes in the now-separated structure. The duo committed to voting in a unified manner at shareholder meetings. Furthermore, they agreed on limitations for the transfer of their respective Aeffe shares.
